XreplyAI Terms of Service

These Terms of Service ("Terms") govern your access to and use of XreplyAI (the "Service"): the web dashboard at xreplyai.com, the XreplyAI Chrome extension, the public API, and the Model Context Protocol (MCP) server. XreplyAI is an AI social media teammate that drafts, schedules, and publishes content for your company across connected social platforms. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Throughout these Terms, "XreplyAI", "we", "us", and "our" refer to Red Green Solutions LLC, the company operating XreplyAI. "You" and "your" refer to the individual or entity accessing the Service.

These Terms incorporate our Privacy Policy and Cookie Policy. Our Security page describes how we protect your data and is provided for information.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement and that you are not barred from receiving services under applicable law. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Accounts

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information when registering
• Keep your account credentials, sign-in codes, and API keys secure and confidential
• Notify us immediately at john@xreplyai.com if you suspect unauthorized access to your account
• Take responsibility for all activity that occurs under your account, including activity by team members you invite and by API clients you authorize

We reserve the right to suspend or terminate accounts that contain false or misleading information.

3. Service Description

XreplyAI keeps your company visible on social media when nobody has time to run it. The Service:

• Reads your website, connected knowledge sources, and existing posts to build a brand direction and a voice profile
• Drafts posts, replies, comments, images, and direct messages using AI models
• Schedules and publishes content to X, LinkedIn, Instagram, Threads, Facebook, YouTube, TikTok, Pinterest, Bluesky, and Mastodon
• Publishes on a schedule you set, either after your review or, when you turn on "Post automatically" for a generator, without a per-post review (see Section 9)
• Includes a Chrome browser extension that adds an in-feed reply button on X, LinkedIn, Instagram, and Reddit
• Offers a public API and an MCP server so your own tools and AI agents can operate your account (see Section 10)
• Supports team workspaces with a review and approval workflow (see Section 12)

We may change, add, or retire features at any time. Where a change removes a feature you rely on, we will give notice by email or within the Service where practical.

4. Subscriptions, Trial, and Billing

XreplyAI is sold as one subscription plan, billed monthly:

• Unlimited ($599/month): unlimited connected channels, unlimited scheduled posts, unlimited AI drafts and replies on standard models, auto DM replies, custom writing rules, team members with review and approval, the Chrome extension, the API, and the MCP server. Standard AI costs are included.
• Partner rate ($300/month): the same Unlimited plan at 50% off through an invite-only promotion code, offered in exchange for an advocacy commitment (posting about XreplyAI and engaging with the founder). Partner is not a separate plan. We may withdraw the rate if the commitment lapses, effective at the next renewal.

There is no free plan. Subscribers on legacy plans that are no longer offered for sale continue to be billed at their original rate until they cancel or change plans.

Trial. New subscriptions start with a 14-day trial of Unlimited. A valid payment method is required to start the trial. You will not be charged during the trial. Unless you cancel before the trial ends, your payment method is charged the monthly price when the trial ends and your subscription begins.

Auto-renewal. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

Cancellation. You may cancel your subscription at any time through your account settings or by emailing john@xreplyai.com. Cancellation takes effect at the end of the current billing period, and you keep access until that date. After that, your account keeps its data but cannot publish, generate, or run automations until you subscribe again.

Taxes. Prices listed do not include any applicable taxes. You are responsible for all taxes, levies, or duties imposed by your jurisdiction.

Failed payments and delinquency. If a payment fails, we may attempt to recharge your payment method and will notify you by email. While a payment is past due, publishing, generation, and automations are paused; your calendar and content are kept intact and resume once payment succeeds. Accounts with amounts 30 or more days past due may be referred to a collections agency, and you agree to pay all reasonable collection costs including legal fees. If you initiate a chargeback or payment dispute that we determine to be unwarranted, we may charge you a $25 fee per occurrence and suspend your account pending resolution.

5. AI Balance and Frontier Models

Standard AI generation runs on models included in your subscription at no extra cost and with no cap. You may optionally choose a frontier model (currently Claude and GPT models) for generation. Frontier models are billed separately from a prepaid AI balance:

• You top up the balance through Stripe. Each top-up shows the payment processing fee as an amount before you confirm.
• Frontier usage is charged against the balance at the exact cost our model provider bills us, with no markup.
• Top-ups are final and non-refundable. There is no minimum or maximum top-up.
• Frontier generation requires an active subscription and a positive balance. If either is missing, generation falls back to a standard model and the Service tells you so. Your balance is never zeroed by a lapse; it waits for you to resubscribe.
• In a team workspace, the workspace owner funds the balance, and only the owner may top it up. Frontier generation by any team member draws on the owner's balance.

We keep a ledger of balance transactions for two years, including after account deletion, so that a later billing dispute can be resolved.

6. Fee Changes

We may change subscription prices at any time. We will give you reasonable prior notice of any price change, typically at least 30 days, by email or a prominent notice within the Service. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new price.

7. Refund Policy

We offer a full refund of a subscription charge if you request it within 7 days of that charge. To request a refund, contact us at john@xreplyai.com from the email address on your account.

Cancelling during the trial means you are never charged, so no refund is needed. AI balance top-ups are final and are not refundable (Section 5).

8. Acceptable Use Policy

You agree NOT to use the Service to:

• Generate spam or mass automated content without meaningful human oversight of what your account publishes
• Harass, abuse, or threaten other users on any platform
• Spread misinformation or harmful content
• Impersonate another person or organization, or present AI-generated content as a real quote from someone who did not say it
• Violate the terms of service of any connected platform (X, Instagram, LinkedIn, etc.) or any applicable law
• Connect social accounts, knowledge sources, or team members you are not authorized to connect
• Attempt to gain unauthorized access to our systems or other users' accounts
• Circumvent rate limits, scrape the Service, or use the API or MCP server in a way that degrades the Service for others
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service
• Use the Service for any unlawful or fraudulent purpose
• Post, generate, or distribute hateful, threatening, or extremist content targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin

We may terminate accounts without notice or refund if we determine, at our sole discretion, that an account is being used to produce hateful or extremist content or to support ideologies that promote violence or discrimination.

9. Automated Publishing

By default, content the Service drafts for you waits in a review queue until you approve it. The Service also offers automations that publish without a per-post review:

• Post automatically on the content planner, which schedules and publishes its generated posts without review
• Auto DM replies to new followers and, on Instagram, to people who comment on your posts
• Reply drafts in the comment inbox and the Chrome extension, which publish only when you send them

When you turn on an automation, you authorize XreplyAI to publish on your connected accounts on your behalf, in your name, under the settings you chose, until you turn it off. You remain the author and publisher of everything your account posts, whether or not you reviewed it first. Review what your automations produce, and use the Pause automation control in Channels to stop everything at once.

Each connected channel carries its own automation switch. Turning a channel off stops generation and publishing for that channel only.

10. API, MCP Server, and API Keys

You may access your account programmatically through the XreplyAI API and MCP server using API keys you create in Settings. The following apply:

• API keys are credentials. Anything done with your key is done by you. Keep keys out of shared code and client-side applications, scope each key to the permissions it needs, and revoke keys you no longer use.
• AI agents and other automated clients you connect act with your authority. You are responsible for what they create, publish, or delete, including when they run without a human watching.
• We apply rate limits to protect the Service. Requests over the limit are rejected. Repeated abuse may lead to key revocation or account suspension.
• We may change the API and MCP tools over time. We will document breaking changes at developers.xreplyai.com and give notice where practical.
• You may not use the API to build a product that competes with the Service by reselling access to it, or to extract other users' data.

The API and MCP server are part of the Service and are covered by these Terms in full, including the Acceptable Use Policy and the Automated Publishing section.

11. Third-Party Platforms and Providers

The Service integrates with third-party platforms and services, including social platforms (X, LinkedIn, Instagram, Threads, Facebook, YouTube, TikTok, Pinterest, Bluesky, Mastodon, and Reddit through the extension), knowledge and media sources (GitHub, Slack, Intercom, HubSpot, Google Drive, Canva), AI providers (Google, OpenRouter, Anthropic, OpenAI), and Stripe for payments. These third parties have their own terms, policies, and conditions that govern your use of their services.

YouTube. XreplyAI uses YouTube API Services. By connecting a YouTube channel, you agree to be bound by the YouTube Terms of Service. Google's handling of your data is described in the Google Privacy Policy. You can revoke XreplyAI's access at any time from your Google security settings.

We are not responsible for:

• The availability, uptime, or accuracy of any third-party platform or service
• Actions taken by third-party platforms in response to your use of the Service, including account suspensions or bans
• Changes to third-party APIs, rate limits, pricing, or content policies that affect the Service, including a platform withdrawing a capability we previously offered
• How third-party platforms handle content you post or data you export through the Service
• AI provider pricing changes, rate limits, or content moderation decisions (including refusals to generate content)

Your use of third-party services is at your own risk and subject to the applicable third-party terms.

12. Workspaces and Team Members

Each account has one workspace. A workspace owner may invite team members with different roles. The following apply:

• The workspace owner is the billing customer. Team members use the Service under the owner's subscription, and the owner is responsible for their use.
• Connected social accounts, posts, content plans, media, and brand knowledge belong to the workspace and are visible to its members.
• A member or viewer may leave a workspace at any time. The owner cannot leave, because the owner is the biller.
• Ownership transfer is handled by support on request, not self-serve, because it moves the subscription and every entitlement with it.
• Deleting the owner's account deletes the whole workspace, including posts, plans, and media created by other members. Members are not notified and nothing is recoverable. Confirm with your team, or ask us to transfer ownership, before deleting an owner account.

13. Beta Features

We may offer certain features labeled as "beta," "experimental," or "preview." These features are provided as-is, may be incomplete, and are subject to change or removal at any time without notice. Beta features carry no service level agreement and are excluded from any uptime or performance commitments we may make elsewhere.

14. Intellectual Property

Our property. XreplyAI and its licensors own all rights, title, and interest in the Service, including the software, UI, branding, and underlying technology. Nothing in these Terms transfers any ownership rights to you.

Your content. You retain ownership of the content you provide to and create with the Service, including your website content, uploaded documents and media, brand assets, and posts. You grant us a limited, non-exclusive, worldwide license to store, process, and transmit that content solely to provide and improve the Service for you, including sending it to the AI providers and social platforms you use. We do not use your content to train AI models.

AI-generated output. Content generated by the Service on your behalf belongs to you, to the extent permitted by law. You are solely responsible for reviewing and deciding whether to publish any AI-generated content. We make no representations about the originality, accuracy, or suitability of AI-generated output for any purpose, and similar output may be generated for other users.

Feedback. If you send us suggestions or feedback, we may use them without obligation to you.

License to use the Service. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your personal or internal business purposes.

15. Copyright Complaints

We respect the intellectual property of others. If you believe content stored on the Service infringes your copyright, send a notice to john@xreplyai.com with the subject line "Copyright Notice" that includes: a description of the copyrighted work; the URL or location of the material you believe is infringing; your name, address, email, and phone number; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature.

We will remove or disable access to material identified in a valid notice and may terminate the accounts of repeat infringers. If your content was removed and you believe that was a mistake, you may send a counter-notice to the same address.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or offensive material
• You are responsible for reviewing content before posting and for the automations you turn on
• The Service may experience downtime, bugs, or feature changes, and a scheduled post may fail to publish
• We do not guarantee that the Service will meet your specific requirements or produce any particular audience, engagement, or business result
• We do not guarantee uninterrupted access to any connected third-party platform

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XREPLYAI AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Costs incurred through third-party AI providers
• Actions taken by any connected platform in response to your use of the Service
• Unauthorized access to or alteration of your data
• Content generated, posted, scheduled, or sent through the Service, including by an automation you enabled or an API client you authorized

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

18. Indemnification

You agree to indemnify, defend, and hold harmless XreplyAI and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of or inability to use the Service
• Your violation of these Terms
• Your violation of any third-party rights, including the terms of service of any connected platform
• Any content you provide to, generate with, or publish through the Service, including content published by an automation or API client acting on your account
• Content or data you connect from sources belonging to others, such as a shared Slack channel, without the authority to do so

19. Termination

You may delete your account at any time from Settings → Account, or by contacting us at john@xreplyai.com. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion.

Upon termination, your right to use the Service ceases immediately. We will handle your data following termination as described in our Privacy Policy, including applicable data retention and deletion timelines. Sections on AI balance, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions survive termination.

20. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or a prominent notice within the Service. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

21. Dispute Resolution and Arbitration

Informal resolution. Before initiating any formal proceeding, you agree to contact us at john@xreplyai.com and give us 30 days to attempt to resolve the dispute informally.

Binding arbitration. If we cannot resolve a dispute informally, you and XreplyAI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including their formation, performance, or breach) will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in New Jersey or, at your election, by videoconference. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. YOU AND XREPLYAI EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Each party may only bring claims against the other in an individual capacity.

Small claims. Either party may bring an individual action in small claims court if the claim qualifies and remains in small claims court.

Opt-out. You may opt out of arbitration by sending written notice to john@xreplyai.com within 30 days of first agreeing to these Terms. Include your name, account email, and a clear statement that you are opting out. If you opt out, disputes will be subject to the governing law and courts in Section 22.

Severability. If any part of this arbitration provision is found unenforceable, the remainder will continue in effect; if the class action waiver is found unenforceable in a particular proceeding, that proceeding may proceed in court but not on a class basis.

22. General

Governing law. These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Subject to the arbitration provision above, any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in New Jersey, and you consent to personal jurisdiction there.

Force majeure. Neither party will be liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or government actions.

Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, or sale of assets, without your consent.

Export. You may not use the Service where doing so is prohibited by United States export or sanctions laws.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and XreplyAI regarding the Service and supersede all prior agreements or understandings.
